1. Introduction

These Terms of Service govern your use of the Venza Media website and your interactions with Venza Media.

By accessing *[www.venzamedia.net](http://www.venzamedia.net)*, submitting an enquiry, requesting a quotation, or engaging Venza Media for a service, you agree to these terms.

Where you enter into a separate proposal, quotation, invoice, service agreement, or contract with Venza Media, that document will apply alongside these terms. If there is any conflict, the signed service agreement or other project-specific document will take priority.

2. About Venza Media

Venza Media is a creative and digital marketing agency providing services that may include:

* Brand strategy
* Website design
* Digital marketing
* Brand identity design
* AI marketing
* Social media marketing
* Content creation
* Search engine optimisation
* Marketing automation
* Other related creative, advertising, and consulting services

The exact scope of each engagement will be stated in the relevant proposal, quotation, or service agreement.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use our services.

If you are acting on behalf of a business or organisation, you confirm that you have the authority to accept these terms and engage Venza Media on its behalf.

4. Service Enquiries

Submitting an enquiry through our website does not automatically create a client relationship or require Venza Media to accept a project.

A service engagement begins only when the parties have agreed on the scope, fees, and relevant terms, and any required payment has been made.

Venza Media reserves the right to accept or decline an enquiry where permitted by law.

5. Proposals and Scope of Work

Proposals and quotations are based on the information available when they are prepared. Unless otherwise stated, a quotation may be revised if the project requirements, timeline, workload, or requested deliverables change.

Only the services and deliverables expressly stated in the agreed scope are included. Additional requests may require a revised timeline and additional fees.

Any estimate or projected completion date depends on the client providing the required information, access, materials, approvals, and feedback on time.

6. Client Responsibilities

When engaging Venza Media, you agree to:

* Provide accurate and complete project information
* Supply the materials, access, credentials, and approvals required for the work
* Respond to requests for feedback or approval within a reasonable time
* Ensure that any materials supplied to Venza Media can legally be used
* Review deliverables carefully before approving or publishing them
* Pay agreed fees and authorised third-party costs when due
* Comply with applicable advertising, consumer-protection, intellectual-property, and industry regulations

Venza Media will not be responsible for delays or additional costs caused by incomplete information, delayed feedback, unavailable access, or changes requested by the client.

7. Fees and Payment

Service fees, payment dates, billing arrangements, and accepted payment methods will be stated in the relevant proposal, invoice, or service agreement.

Where advance payment is required, work may not begin until payment has been confirmed.

Advertising budgets, software subscriptions, stock assets, domain fees, hosting fees, influencer fees, production expenses, and other third-party costs are not included unless expressly stated.

Venza Media may pause or withhold services where an undisputed payment is overdue, subject to the applicable agreement and relevant law.

8. Cancellations and Refunds

Cancellation, termination, and refund conditions will be governed by the applicable proposal, invoice, or service agreement.

Where no separate cancellation terms have been agreed, the parties will consider the work already completed, resources committed, third-party costs incurred, and the notice provided.

Nothing in these terms limits any refund, cancellation, or consumer right that cannot legally be excluded.

9. Revisions and Approvals

The number and scope of revisions included in a project will be stated in the applicable agreement.

Revision requests must remain within the approved project scope. Requests that introduce a new direction, new deliverables, or substantial changes after approval may attract additional fees and extend the delivery timeline.

A deliverable will be treated as approved when the client confirms approval in writing or publishes, distributes, or otherwise begins using it.

Venza Media is not responsible for errors that were present in information supplied or approved by the client.

10. Intellectual Property

All content on the Venza Media website, including text, graphics, logos, layouts, videos, designs, and other materials, belongs to Venza Media or its licensors unless otherwise stated.

You may not copy, reproduce, modify, distribute, sell, or commercially use website content without written permission.

Ownership and usage rights for client deliverables will be governed by the relevant service agreement. Unless otherwise agreed, ownership of approved final deliverables will transfer only after full payment has been received.

Drafts, rejected concepts, internal processes, working files, templates, tools, methods, and pre-existing materials remain the property of Venza Media unless otherwise agreed in writing.

Third-party materials remain subject to their original licences and restrictions.

11. Client Materials

You retain ownership of the original materials you provide to Venza Media.

By supplying content, images, videos, trademarks, music, data, or other materials, you confirm that you own them or have the necessary permission for their use.

You grant Venza Media a limited right to use those materials only as necessary to provide the agreed services.

Any right for Venza Media to display completed client work in its portfolio, website, social media, or promotional materials will be governed by the applicable service agreement or separate permission.

12. Artificial Intelligence Tools

Venza Media may use approved AI-assisted tools to support research, analysis, content development, design, automation, campaign optimisation, and other agreed services.

AI-assisted work may require human review, editing, and verification. Clients remain responsible for reviewing and approving final deliverables before publication or commercial use.

Sensitive or confidential information should not be supplied for AI-related processing unless it is necessary, authorised, and appropriately protected.

13. Marketing and Performance Results

Marketing, advertising, search engine optimisation, content, and social media performance depend on several factors beyond Venza Media’s control.

These may include market conditions, audience behaviour, platform algorithms, competition, advertising budgets, pricing, product quality, website performance, sales processes, and changes made by third-party platforms.

Unless expressly guaranteed in a signed agreement, Venza Media does not guarantee a particular number of sales, leads, followers, impressions, website visits, rankings, conversions, or level of revenue.

Any forecasts, projections, or examples are provided for planning purposes and should not be treated as guaranteed results.

14. Third-Party Platforms and Services

Our work may involve platforms and services operated by third parties, including social networks, advertising platforms, hosting providers, email tools, analytics services, and software providers.

Your use of those services may be governed by their own terms, policies, fees, and technical requirements.

Venza Media is not responsible for third-party outages, account restrictions, policy changes, algorithm changes, rejected advertisements, suspended accounts, data loss, or other actions taken by an external platform. Where possible, Venza Media will provide reasonable assistance in addressing such issues.

15. Account Access and Security

Where a client provides access to an advertising account, website, social media profile, or other platform, the client remains responsible for the ownership and overall security of that account.

Clients should provide access through official account permissions wherever possible and should not share passwords unnecessarily.

Venza Media will take reasonable steps to protect credentials and access entrusted to it. The client must notify Venza Media promptly if unauthorised access or a security incident is suspected.

16. Confidentiality

Each party should protect confidential business, financial, technical, and project information received from the other party.

Confidential information may only be used for the purpose of the engagement and may be disclosed where required by law, necessary for approved service providers, or authorised by the party that owns the information.

Any more detailed confidentiality obligations contained in a signed service agreement will take priority.

17. Acceptable Website Use

You must not use the Venza Media website to:

* Violate any applicable law or regulation
* Submit false, misleading, harmful, or fraudulent information
* Upload malicious software or harmful files
* Attempt to gain unauthorised access to the website or its systems
* Interfere with the operation or security of the website
* Infringe the rights of Venza Media or another person
* Collect website data through unauthorised automated methods
* Misrepresent your identity or relationship with another person or business

Venza Media may restrict access where these terms are violated or where necessary to protect the website and its users.

18. Website Availability

Venza Media aims to keep its website accurate, secure, and available. However, we do not guarantee uninterrupted access or that every piece of information will always be complete, current, or free from technical errors.

We may update, suspend, or remove any part of the website when reasonably necessary.

19. Disclaimers

Information published on the website is provided for general business and marketing purposes. It does not constitute legal, financial, accounting, or other regulated professional advice.

Before making an important business decision, you should obtain advice appropriate to your circumstances.

20. Limitation of Liability

To the extent permitted by law, Venza Media will not be responsible for indirect, incidental, special, or consequential losses arising from the use of the website or services.

This may include loss of profit, revenue, data, opportunity, reputation, or anticipated savings.

Any additional limitation of liability applicable to a paid engagement will be stated in the relevant service agreement.

Nothing in these terms excludes or limits any liability or legal right that cannot lawfully be excluded.

21. Suspension and Termination

Venza Media may suspend or terminate website access or a service engagement where:

* These terms or an applicable agreement are materially breached
* Payment remains overdue
* Required cooperation or access is not provided
* The requested activity may be unlawful, misleading, harmful, or unethical
* Continuing the engagement may expose Venza Media or another party to legal or security risk

Termination of a paid engagement will remain subject to the notice, payment, ownership, and handover provisions in the applicable service agreement.

22. Privacy

The collection and use of personal information through the website and our services are governed by the Venza Media Privacy Policy.

By submitting personal information, you confirm that you have reviewed the Privacy Policy.

23. Governing Law and Disputes

These Terms of Service are governed by the laws of the Federal Republic of Nigeria.

If a dispute arises, the parties should first attempt to resolve it through good-faith discussions. If the dispute cannot be resolved informally, either party may pursue any remedy available under the applicable service agreement or Nigerian law.

Nothing in this section prevents either party from seeking urgent legal protection where necessary.

24. Changes to These Terms

Venza Media may update these Terms of Service to reflect changes in our website, services, business practices, or legal obligations.

Updated terms will be published on this page with a revised date. Changes will not retrospectively alter a signed service agreement unless both parties agree or the law requires otherwise.

25. General Provisions

If any part of these terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

A failure by Venza Media to enforce a provision immediately does not constitute a waiver of that provision.

These terms do not create a partnership, employment relationship, joint venture, or agency relationship between Venza Media and a website visitor or client.
